The Israeli security cabinet is said to have agreed to truce deal after fresh discussions in Cairo.
Israeli officials said if accepted by all the sides, the truce would come into effect on Friday.
There was no immediate word from the Palestinian group Hamas which controls the Gaza Strip.
Hamas had rejected a previous ceasefire offer earlier this week, saying it was never consulted on the terms.
Israel observed a brief truce on Thursday resulting in a temporary relief to the people of Gaza from a ten day Israeli bombardment.
